Please be sure to carefully read and understand all rights and restrictions stipulated in this Software Privacy and License Agreement (hereinafter referred to as the "Agreement"). Unless you accept the terms of this Agreement, you have no right to download, install or use the Software and related services. Once you install, copy, download, access or otherwise use this product, it will be deemed as your acceptance of this Agreement, which means you agree to be bound by its terms. If you do not agree to the terms, please do not install, copy or use the Software.

This "Agreement" is between the user and Wuxi Hardon New Energy Technology Co., Ltd. (hereinafter referred to as " Haichao ") regarding the user's downloading, installation, use and copying of the communication software of battery BMS (hereinafter referred to as "Software") attached with this "Agreement". ") legal agreement.

 
1. Rights statement
All intellectual property rights of this "Software", as well as all related information content, including but not limited to: text expressions and their combinations, icons, graphics, images, charts, colors, interface designs, layout frames, and related data , add-on programs, printed materials or electronic documents, etc. are all owned by Hadron which are protected by copyright law, international copyright treaties and other intellectual property laws and regulations.

 
2. Scope of license
2.1 Download, installation and use: This software is free of charge. Users can download, install and use it non-commercially in unlimited quantities.

2.2 Duplication, distribution and transmission: Users can copy, distribute and disseminate this software in non-commercial and unlimited quantities. However, you must ensure that every copy, distribution and dissemination is complete and authentic, including all software, electronic documents, copyrights and trademarks related to this software product as well as this Agreement.

 
3. Rights restrictions
3.1 Reverse engineering, reverse compilation and reverse assembly are prohibited: Users are not allowed to reverse engineer , decompile or reverse assemble (Disassemble) this software, and they are not allowed to change the code compiled any resources inside the program file. Unless the above activities are expressly permitted by laws and regulations, users must abide by the restrictions of this agreement.。

3.2 Component division: This software is licensed as a single product, and users are not allowed to separate the individual parts for any purpose.

3.3 Individual authorization: If you need to carry out commercial sales, reproduction, distribution, including but not limited to software sales, pre-installation, bundling, etc., you must obtain written authorization and permission from Hadron Energy.

3.4 Rights reserved: All other rights not expressly authorized by this agreement still belong to Hadron Energy. Users must obtain Hadron’s written consent when using other rights.

 
4. User instructions
4.1 Software function: A software tool that cooperates with the BMS of a battery pack communication hardware device with functions such as connect devices, data presentation and feedback.

4.2 This software is provided with product support by Hadron Energy.

4.3 Software modifications and upgrades: Communications of battery pack’s BMS reserves the right to provide users with modified and upgraded versions of this software at any time. After the user chooses to upgrade it, corresponding data traffic fees will be incurred, which will be charged by the operator.

4.4 This software is only applicable to the supported mobile operating systems and specific phone models announced on the official website. The software can run automatically when the operating system starts, so as to provide all functional services at any time and reduce response time. If the user wants to give up using it for any reason after installation, it can be uninstalled through the system's software management function.

4.5 This software does not contain any malicious code designed to destroy user data and obtain user private information. It does not contain any functional code for tracking or monitoring the user's mobile phone. It will not monitor the user's online or offline behavior, will not collect information about the use of other software. , documents and other personal information, will not leak user’s privacy.

4.6 Users should use this software in compliance with laws and this agreement. It is not allowed to perform actions including but not limited to the following:

 4.6.1 All electronic rights management information on this software shall not be deleted or changed;

 4.6.2 Do not deliberately avoid or destroy the technical measures taken by the copyright owner to protect the copyright of this software;

 4.6.3 Users shall not use this software to mislead or deceive others;

 4.6.4 Violate national regulations by deleting, modifying, adding, or interfering with the functions of the computer information system, causing computer system to fail to operate normally;

 4.6.5 Enter computer information networks or use the network resources without permission;

 4.6.6 Delete, modify or add computer information network functions without permission;

 4.6.7 Delete, modify or add data and applications stored, processed or transmitted in computer information networks without permission;

 4.6.8 Destroy the normal operation of this software system or website, and deliberately spread viruses, Trojans and other destructive programs;

 4.6.9 Any other behavior that endangers the security of computer information networks.

4.7 Do not download this software from websites not designated by Hadron Energy or obtain it from a medium not released by Hadron, otherwise, Hadron cannot guarantee whether the software is infected with viruses, hidden with disguised Trojan horses or hacker software, it may lead to unpredictable risks. Users are advised not to download, install, or use it easily. Hadron Energy does not assume any legal liability arising therefrom.

4.8 Privacy protection

 4.8.1 Hadron Energy has formulated the following four privacy protection principles to guide us on how to deal with issues related to user privacy and user information in our products:

  (1) Use the information we collected to provide users with valuable products and services.

  (2) Develop products that comply with privacy standards and privacy practices.

  (3) Make the collection of personal information transparent and supervised by an authoritative third party.

  (4) Do our best to protect the information we hold.

 
5. Disclaimer and limitation of liability
5.1 The user confirms that he is aware of all the functions of the software and the necessary operations performed by Hadron Energy to realize its functions. He voluntarily chooses to use the software and related services according to his own needs. All risks and consequences associated during usage and related services will be entirely borne by itself while Hadron Energy does not assume any responsibility.

5.2 This software has been tested in detail, but it is not guaranteed that it is fully compatible with all software and hardware systems, and there is no guarantee that the software is completely error-free. If incompatibility or software errors occur, users can call the technical support phone number to report the situation of BMS communication and obtain support. If the compatibility problem cannot be solved, the user can delete the software.

5.3 To the maximum extent permitted by applicable law, Hadron Energy is not responsible for any damages and risks arising from the use or inability to use this software, including but not limited to direct or indirect personal damages, loss of business profits, trade interruption, loss of business information etc. This BMS Communication software does not assume any responsibility for losses caused by other force majeure reasons .

5.4 Hadron Energy does not assume any responsibility for losses caused by telecommunications system or Internet network failure, computer failure, mobile phone failure, viruses, information damage or loss, computer system problems by force majeure reasons.

5.5 If a user violates the provisions of this Agreement, Hadron Energy has the right to take measures including but not limited to interrupting the use license, stopping the provision of services, restricting use and pursuing legal action.

 
6. Legal and dispute resolution
6.1 This agreement shall be governed by the laws of the People's Republic of China.

6.2 Any dispute arising out of or related to this Agreement shall be settled through friendly negotiation between the parties; if the negotiation fails, either party may submit the relevant dispute to the Jiangyin Office of the Wuxi Arbitration Commission for arbitration in accordance with its rules in effect at that time. The arbitration award is final and binding on all parties.

 
7. Other terms
7.1 If any provision of this Agreement is wholly or partially invalid or unenforceable for any reason, or violates any applicable law, then that provision will be deemed to be deleted, but the remaining provisions of this Agreement shall remain valid and binding.

7.2 The BMS Communication of Battery Pack has the right to modify this agreement at any time based on changes in relevant laws and regulations, as well as adjustments to the company's operating conditions and business strategies . The revised protocol will be announced on the BMS’s official website and will be included with the new version of software. When relevant disputes arise, the latest agreement text shall prevail. If you do not agree with the changed content, the user can delete the software by himself. If the user continues to use, it will be deemed that you accept the changes to this agreement.

7.3 The BMS Communication of Battery Pack has the right to interpret and modify this Agreement to the maximum extent permitted by law.
